Terms of Service - Consultant and Trainer Program

By applying for and participating in the International Image Institute Consultant and Trainer Program ("Program"), you ("Consultant or Trainer") agree to comply with the following terms and conditions. These terms govern your participation and relationship with the International Image Institute ("Company").

1. Eligibility Requirements
To be eligible for the Program, Consultants or Trainers must:
- Provide proof of an established image consulting or colour analysis business or training service, or

- Be a current student or graduate of one of our programs or hold a recognized certificate of completion in Image Consulting or Colour Analysis.
- Provide proof of training, if requested. Training must be with a established provider, recognized by the International Image Institute.
- Provide accurate and truthful information during the application process.
- Agree to receive communications from the Company and remain subscribed to the Company’s mailing list (see Section 7 below).
- Comply with all guidelines and requirements as set forth in these Terms of Service.

2. Discounts and Benefits
Consultants who are accepted into the Program are entitled to professional discounts on eligible products and services. The discount percentage and eligible products are subject to change at the sole discretion of the Company.

Consultants may use the discount only for personal or professional use and may not resell products purchased with the discount to third parties other than their professional clients or students. The Company reserves the right to revoke the discount at any time for misuse or violation of these terms.

3. Proof of Eligibility
The Company may request proof of eligibility, including but not limited to letters of completion or training documentation, at any point during your participation in the Program. Failure to provide such documentation upon request may result in termination from the Program.

3. Participation Guidelines
As a Consultant or Trainer, you are expected to:

Uphold the professional standards of the image consulting and colour analysis industry.
Comply with the International Image Institute Code of Ethics at all times.
Use the Company's products and services ethically and responsibly.
Refrain from sharing, reproducing, distributing, or using confidential, proprietary, or intellectual property belonging to the Company without the Company's prior written permission.
Conduct yourself in a manner that reflects positively on the Company and the profession.

3. Suspension and Termination of Participation

Participation in the Program is a privilege, not a right.

The Company reserves the right, in its sole and absolute discretion, to suspend or terminate a Consultant's or Trainer's participation in the Program, immediately and without prior notice, warning, or explanation.

Grounds for suspension or termination include, but are not limited to:

Failure to meet or maintain the Program's eligibility requirements.
Breach of these Terms of Service.
Breach of the International Image Institute Code of Ethics.
Misuse of consultant or trainer discounts or benefits.
Misrepresentation of affiliation with the Company.
Conduct that, in the Company's opinion, is dishonest, unethical, unprofessional, infringes the Company's intellectual property rights, or is otherwise harmful to the Company, its reputation, its students, consultants, customers, or business interests.
Nothing in these Terms limits the Company's right to suspend or terminate participation for any other reason. The Company may revoke Program membership, consultant or trainer status, discounts, and associated benefits at any time, with or without cause, and with or without prior notice, at its sole discretion. No refund, compensation, or continued participation shall be owed following such termination.

6. Modifications to the Program
The Company reserves the right to modify or discontinue the Program, or any part of it, at any time without notice. This includes changes to discount percentages, eligible products, and participation requirements. Consultants will be notified of any significant changes via email.

7. Communications and Mailing List Consent
By participating in the Program, you agree to receive communications from the Company, including but not limited to:
- Important updates about the Program.
- Product launches, inventory information, and special events.
- Newsletters containing industry insights, educational materials, and other related content.

You can unsubscribe from these communications at any time. However, unsubscribing will automatically result in your removal from the Program and loss of access to all consultant or trainer discounts and benefits, as staying informed is a condition of the Program.

8. Privacy and Data Use
The Company is committed to protecting your personal information. We collect, use, and store your data in accordance with our Privacy Policy, which complies with applicable privacy laws, including Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA).

Your information will not be shared with third parties without your consent, except as required by law or as necessary to administer the Program.

9. Limitation of Liability
The Company is not responsible for any damages, losses, or claims arising from your participation in the Program. Participation is at your own risk, and the Company provides the Program on an "as is" basis, without warranties of any kind, either express or implied.

10. Governing Law
These terms and your participation in the Program shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada.

11. Agreement to Terms
By submitting an application and participating in the Program, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.

By participating in the Program, you acknowledge that compliance with the International Image Institute Code of Ethics is a continuing condition of participation and that failure to comply may result in immediate suspension or termination without prior notice.
